1. Acceptance of Terms

By accessing or using the YouTube Growth Engine website, API, and related services (collectively, the “Service”), operated by Next Upload Ai (“we,” “our,” or “us”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify registered users of material changes via email or a platform notice.

2. Service Description

The YouTube Growth Engine is an AI-powered platform that analyzes YouTube video comments to extract audience insights, generate content ideas, create viral hooks and titles, and produce video scripts. The Service includes:

• AI-driven comment analysis and pain point extraction
• Content idea generation with relevance scoring
• Viral hook and CTR-optimized title generation
• Full video script generation in multiple formats
• Scheduled recurring analyses
• Export and sharing capabilities (PDF, CSV, JSON)

3. User Accounts & Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate, current, and complete information and update it as necessary.

You must be at least 18 years of age or, if younger, have parental consent to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or algorithms
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or any malicious code
• Use the Service to analyze content that infringes upon third-party rights
• Create multiple accounts to circumvent usage limits or billing restrictions
• Use automated scripts or bots to interact with the Service without express permission

5. Subscriptions & Payments

The Service offers both free and paid subscription plans. Paid plans are billed monthly or annually as selected at checkout. All fees are non-refundable except as expressly stated in our refund policy or as required by applicable consumer law.

We use Stripe as our payment processor. Your payment information is handled by Stripe in accordance with their privacy and security policies. We do not store full payment card details on our servers.

Subscription plans automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time from your account settings.

Prices are exclusive of VAT or other applicable taxes, which will be added at checkout where required by law.

6. Credits & Usage Limits

Free and paid plans include a monthly allocation of credits (reports). Unused credits do not roll over to the next billing period. Usage limits are clearly displayed on our pricing page and in your account dashboard.

We reserve the right to enforce fair usage policies to ensure service quality for all users. Excessive usage beyond plan limits may result in throttling or additional charges.

7. Intellectual Property

The Service, including its AI models, algorithms, software, design, and content (excluding user-generated content), is owned by Next Upload Ai and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes.

You retain ownership of any content you create using the Service, including video scripts and analysis reports. However, you grant us a worldwide, royalty-free license to use, store, and process your content solely to provide and improve the Service.

8. Data & Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy and Cookie Policy. By using the Service, you consent to the practices described in those policies.

The Service processes YouTube comments via the YouTube Data API. By using the Service, you also agree to be bound by YouTube’s Terms of Service and Google’s Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services including, but not limited to:

• YouTube Data API — for fetching video metadata and comments
• OpenAI — for AI-powered analysis and content generation
• Supabase — for database and authentication services
• Stripe — for payment processing
• Netlify — for hosting and deployment
• Google Analytics — for usage analytics and site performance
• Plausible Analytics — for privacy-first, cookieless analytics

We are not responsible for the practices of these third-party services. Your use of these services is subject to their respective terms and policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Next Upload Ai and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations of liability, so the above may not apply to you.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that the AI-generated insights, content ideas, hooks, or scripts will produce specific results or outcomes for your YouTube channel.

AI-generated content may contain inaccuracies, omissions, or may not be suitable for your specific context. You are solely responsible for reviewing, editing, and validating any content generated by the Service before publication.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our business interests.

Upon termination, your right to use the Service will immediately cease. Sections 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Disclaimer), and 13 (Governing Law) shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Romania.
